Terms and Conditions
These terms govern use of the site and requests for a first call about the Independent AI Decision Review. Delivery of a Review requires a signed proposal or SOW and remains subject to its stated scope, terms, and available capacity.
Requests and first calls
- Submitting a form, messaging through WhatsApp, or joining a conversation does not create a contract, acceptance, capacity reservation, or purchase obligation.
- A request may be declined because of fit, a conflict of interest, or capacity.
- Confidential documents should not be sent through the form or WhatsApp before the appropriate channel and protections are agreed.
Service scope
Each Review covers one consequential AI or technology decision with the Evidence-First 7 Decision Gates Method and produces the seven standard deliverables and the Executive Decision Memo (GO / MODIFY / NO-GO). The contracted level sets the scope limits; anything beyond them requires a signed change order.

Delivery references are subject to contract, scope, timely access to evidence and people, and capacity. They are not guaranteed deadlines. If critical evidence arrives late, the date moves, not the price. The Review does not include implementation or legal, tax, audit, or certification advice. The client organization remains responsible for the decision.
How the level is assigned
The level is assigned before signing with the Decision Complexity Score, which uses countable inputs:
- alternatives to compare;
- people to interview;
- entities or countries;
- coupled decisions;
- specific regulation;
- systems to integrate;
- state of the evidence;
- 36-month value at stake;
- board or regulator scrutiny.
0–4 points is a Decision Review; 5–9, Strategic; 10 or more, Enterprise. If any input exceeds a level's limits, the engagement moves at least one level up.
The level is fixed in the signed proposal and does not depend on the verdict or on what the client buys afterwards. Decisions with less than USD 150,000 at stake do not qualify for the Review.
Fees and payment
- Decision Review: USD 15,000, fixed fee.
- Strategic Decision Review: USD 30,000, fixed fee.
- Enterprise Decision Assurance: from USD 60,000, by written proposal with defined modules. Scoping is free within the first call and, if needed, a second session (up to two sessions).
- Payment: 50% at signing and 50% on delivery of the Executive Decision Memo. Enterprise: 40% at signing, 30% at midpoint, 30% on delivery.
- Proposals are valid for 30 calendar days. Invoices are due in 15 days.
- No success fee, percentage of the evaluated contract, or vendor commission is charged.
- Taxes, invoicing currency, and payment methods are confirmed in the SOW.
Out-of-scope changes
Any work beyond the level's limits is quoted in writing, with a change order stating scope, timing, and price, before it starts.
Other rules:
- Rush delivery (under 10 business days) depends on available capacity and is quoted in writing.
- If changes exceed 30% of the level's fee, moving to the next level is proposed and change payments are credited.
- No additional work is performed without a signed change order.
- Additional time Vic Sol needs to complete the contracted scope is not billed to the client.
Cancellation
If the client cancels before kickoff, the first 50% payment received will be refunded less USD 500 for preparation. If the client cancels after kickoff, no refund will be issued and the work completed through the effective cancellation date will be delivered. The SOW must define the notice method, effective date, and delivery format for work in progress.
Complete Delivery Commitment
The Complete Delivery Commitment covers completion of agreed deliverables, with a maximum of 10 additional business days when it applies. It does not guarantee results or a specific verdict and must be incorporated into the SOW.
Independence and conflicts
The Review does not use success fees, resale commissions, or incentives tied to the recommended alternative. Potential conflicts of interest must be disclosed before accepting or continuing the engagement.
Intellectual property and use
Rights to use the deliverables, method, templates, pre-existing materials, and client information must be defined in the SOW. This draft does not itself grant a license or transfer any rights.
Liability, governing law, and disputes
Liability limits, exclusions, indemnities, governing law, jurisdiction, and the dispute resolution process remain subject to legal review and must be defined before publication or contracting.
